Corporate Governance is the system which regulates relations between the Board of Directors, management, staff, shareholders and all other stakeholders. Its goal is to maximize company value by effectively managing the company's resources, through transparent procedures and practices.

SIDMA's principles of Corporate Governance can be summarized as follows:

The company has a modern organizational structure, which addresses its operational and internal communication needs. This allows quick decision-making, effective control and efficient use of resources, human or other. The tasks and responsibilities of each organizational position are clearly defined. Management is administered through written policies and procedures.

In addition, the company applies since 2000 the Quality and Environmental management system according to ISO 9002 standards.

The Internal Control department reports to the Board of Directors and will be monitored by the Board's Controlling Committee. This department's main responsibility is to ensure that the company's internal regulations and procedures are followed, to conduct regular audits and controls as specified by the company's annual audit schedule, and to report its findings to the Board of Directors.

 

The Investor Relations department's main responsibility is to ensure that all interested parties will simultaneously receive in a timely and accurate fashion, all information regarding the company. All shareholders are able to communicate directly with this department.

Panagiotis Bitros- Chairman

Mr. Bitros has been managing the family business of trading in steel products since 1960, which he developed into the Business Group of BITROS HOLDINGS SA. He has been a member of the Board. of PIRAEUS Bank and ETVA. In parallel with his business activity, he developed a remarkable activity in the field of employers' trade unionism, financing for a number of years a Member of the Board. of S.E.V. and President of the Piraeus Chamber of Commerce and the Hellenic Chamber of Commerce. Today he holds the positions of Chairman of the Board. of BITROS HOLDINGS and the President of the Association of Importers / Exporters of Steel Products.

Daniel Benardout - Vice Chairman

Civil Engineer(BSc, MSc) from Technion Institute of Technology (Israel). He also holds  an executive MBA from the Athens University of Economics and Business. He joined SIDMA in 1981.

Antonis Karadeloglou - CEO and Member of the Board


Chemist, graduated from the University of Patra and worked for Viohalco Group Companies since 1985. He joined SIDMA in 2010.

Nikolaos Mariou -Member of the Board

Chemist, graduate of Athens University and holds a postgraduate degree in Biochemical Engineering from University College London, as well as an MBA from Imperial College London. His previous experience was as Area Sales Manager at VIORYL SA, as Category Marketing Manager at COLGATE PALMOLIVE HELLAS, as Marketing & Exports Manager at P.D. PAPOUTSANIS SA and as Deputy General Manager at APIVITA SA. Mr. Mariou was Commercial Manager of SIDENOR SA from 2004 to 2007. He currently holds the position of  the General Manager of SIDENOR.

Victor Pisante - Member of the Board

Mr. Pisante holds a Bachelor of Arts in Economics and International Relations from Brown University and a Master of Business Administration in Finance from the New York University Graduate School of Business Administration. Mr. Pisante co-founded Bluehouse in 2004 and as director of the Company, is primarily responsible for establishing Bluehouse’s investment strategy, finance and operations.  Prior to founding Bluehouse, Mr. Pisante was a Founder and Managing Director of the Telesis Group of companies, a leading independent investment banking, asset management and brokerage group in Greece. After the merger of Telesis with EFG Eurobank S.A., Mr. Pisante was appointed Chief Executive Officer of EFG Telesis Finance S.A. and General Manager of EFG Eurobank S.A. and was elected a member of its Executive Committee. Prior to founding Telesis, Mr. Pisante worked as an associate in the M&A and corporate finance departments of Bear Stearns in New York.

Stavros Gatopoulos - Member of the Board

Graduate in the Law School of the University of Athens. He was an Advisor to the Mayor of Agia Paraskevi  as well as Director of the Association of Commercial Associations of Greece. Since 1992 he holds senior management positions in the companies of the BITROS HOLDINGS S.A.

Michael Samonas - Member of the Board

BSc graduate in Applied Accounting from Oxford Brooks University (U.K) as well as a BSc in Physics from Aristotle University of Thessaloniki. He also holds an MBA from University of LaVerne and a PhD from the Electronic and Electrical Engineering Department of the University of Surrey (U.K.).He is a qualified member of the Association of Chartered Certified Accountants (ACCA) and joined the company in 2004.


Minos Moissis- Independent Member of the Board

Graduate in Mathematics from the University of Athens and a postgraduate degree in Actuarial Science from the Heriot - Watt University at Great Britain.Mr. Moissis has extensive experience in managing companies of the financial sector. From 1998 to 2001 he was employed in Interamerican at several senior positions  and from 2001 to 2004 he served as the Managing Director of the Group. From 2005 to 2010 he worked in the Group of the National Bank of Greece , where he initially introduced and developed bancassurance  activities and was then appointed as General Manager of Retail Banking, Retail Branch Network, Business Development and Corporate Communication Unit.From 2011 to 2013  he was employed in Emporiki Bank ( Credit Agricole Group) as General Manager Retail Banking and Corporate Development. From 2013 he works as a freelancer expertised in consulting services concerning insurance and banking matters.

Georgios Katsaros - Independent Member of the Board

Graduate of the Economics department of the Law School of the University of Athens. He also holds a Master’s degree in Industrial Economics from Sussex University (U.K.) and an MBA from INSEAD (France). He has been working as Administration Consultant in EFG Eurobank Ergasias since 2003.

 

Antonis Karadeloglou - CEO and Member of the Board

Chemist, graduated from the University of Patra and working for Viohalco Group Companies since 1985. He joined SIDMA in 2010.

Ilias Naar - Purchasing Manager

Graduate of the University of Athens Department of Physics and holds Master's and Doctoral Degrees in Theoretical Nuclear Physics from the University of Manchester (U.K). He joined the company in 1995.

Dimitris Karabetsos - Commercial Manager

Diploma in the Aristotle University of Thessaloniki in Chemical Engineering and holds a Master's Degree in Business Administration from the Hellenic Management Association. He worked for ERLIKON in SIDENOR Group from 2001 and he joined SIDMA in 2007.

 Paris Papageorgiou - Head of Accounting

Graduate of the University of Piraeus School of Business. He joined SIDMA in 1993.

Christos Maglaras - Branch Manager

Diploma in Mechanical Engineering from National  Technical University of Athens (N.T.U.A.). He has been a production manager and sales manager for steel products companies and a director of production companies with an international presence. He has a professional experience of more than 30 years. He has been working in the company since 2016.

Αlexis Kapitsalas - Manager of Information Systems

Holds a Bachelor 's (B.A.) from the Department of Economics of Stirling University and a Master's (M.Sc.) degree in Computing Science from the University of Newcastle upon Tyne. He joined the Company in 2003.


John Veiopoulos - Sales Manager

Diploma in the Aristotle University of Thessaloniki in Economics and holds a Master's Degree from Nottingham trent University. He joined SIDMA in 2001 and his experience is more than 30 years.

George Katsifas - Internal Auditor

Graduate of Business Administration of the University of Piraeus School of Business and holds Master's Degree in Accounting and Finance of Athens University of Economics and Business. . He joined SIDMA in 2014.

 

The basic objective of the Internal Audit Department is to attest the proper and effective operation of the company; to verify that the company’s productive resources are efficiently used and safeguarded; and to inform Management accordingly.

The audit procedures and programs that are used have been defined according to company’s business objectives; risk management assessment; as well as policies and procedures arising from either the legislation in force or the company’s Internal Operating Regulations.

The Internal Auditor examines and evaluates the adequacy and effectiveness of the company’s internal control systems, as well as that of other policies and systems established by the company.

The Internal Auditor is independent, does not belong to any other business unit of the company and is supervised by the Internal Audit Committee. Two independent non-executive members of the Board of Directors and one non-executive member participate in the Internal Audit Committee.

The Internal Audit Department submits periodically (in time intervals of maximum three months) written reports to the Board of Directors containing the most significant conclusions, appraisals and recommendations arising from the audits performed.

The Internal Auditor has unrestricted access to all books, documents, data, activities and plants of the company, necessary to conduct a reliable audit.

The Board of Directors of our company, supporting the significance of the Internal Audit Department, has instructed all the executives and personnel to assist the Internal Auditor in his duties by supplying all relevant documents and information requested.

Finally, after the completion of each audit, the Internal Auditor, in cooperation with the Management of the company, is responsible to define the corrective actions that are necessary to best accomplish the company’s business objectives. Each action has to be implemented within a certain time frame, defined in cooperation with the Management of the company.

In compliance with the principles of corporate governance, after the company’s listing to the Athens Stock Exchange, an Audit Committee has been set up comprising executive and independent, non-executive members of the Board of Directors in order to ensure the correctness and integrity not only of any information disseminated but also of the methods applied to control corporate functions.

The Audit Committee, as the article 44 of the L. 4449/2017 describes, is consisted of  two independent non-executive members, Mr. Minos Moissis and Mr. Georgios Katsaros, as well as an non- member person, Panayiotis Konstantinou. They were all appointed by the Board of Directors.

According to the Internal Operating Regulations, the Committee shall be held four times a year, as well as after a request from the Chief Internal Auditor. The Internal Audit Committee members’ report to the Board of Directors officially once per year or otherwise each time a significant item arises from the Committee’s meetings. The Chairman of the Committee participates to the General Assembly of the Shareholders and submits reports concerning the Committee’s acts.

Βased on the provisions of Article 44 of L. 4449/2017, the Audit Committee also has the following obligations:

(a) to inform the BoD about the results of the mandatory audit;

(b)to monitor financial information procedure;

(c) to monitor the effective operation of the internal audit system, quality control system and risk management system as well as monitor the proper operation of the internal auditors unit of the audited entity;

(d) to monitor the performance of the mandatory audit of individual and consolidated financial statements;

(e) to review and monitor issues related to the establishment and maintenance of objectivity and independence of the legal auditor or the auditing firm, especially as regards any other services provided by the legal auditor or auditing firm to the audited entity;

(f) to choose the Chartered Accountants company and propose it to the BoD for hiring. with respect to the shortcomings of the procedures related to financial information and the preparation of financial statements.
